    Grievance Redressal Mechanism
      • FingoFinancial Solutions Private Limited(hereinafter referred to as the'Company') believes that customer service is its highest priority as that is what drives growth and continuous business. The Company believes that prompt, efficient, and transparent service is critical to build long lasting customer relationships. The Company is determined to ensure expeditious and efficacious handling of the customer Grievances, as wellas prompt remedial & preventive action (inclusive of amendment of the Mechanism, as and when required) with the objective to avert repetitiveness.
    • 1. Objectives
      • The Company understands that despite striving to achieve high standards of customer service excellence, there can be gaps in existing service delivery. Hence, it is critical to provide an appropriate system and process to customers to share their Grievances. The Company aspires to create robust systems and processes to ensure effective and timely solutions to Grievances with an impartial approach to set higher benchmarks towards effective stakeholder engagement. We have ensured that all employees of the company are aware and well versed with our Customer Grievance Redressal Mechanism ("Mechanism"). Our Mechanism is based on following principles:

      a. When the customer Grievance is received, we will endeavour to send an acknowledgement/a response within 48 working hours of receiving the Grievance.

      b. After examining the matter, we will send our final response or explain why we need more time to respond and shall endeavor to do so within 30 days of receipt of Grievance.

    • 3. Review
      • This Mechanism is subject to review by the Company as and when necessary.
      • This Mechanism shall be subject to the applicable laws including but not limited to the rules, regulations, guidelines, directives and instructions issued by RBI and any other statutory authority from time to time and shall supersede the earlier version of the Mechanism. Any change/amendment in applicable laws with regard to maintenance of an appropriate Grievance Redressal Mechanism shall be deemed to be incorporated in this Mechanism by reference and this Mechanism shall be deemed to have been amended and revised accordingly.
    Intellectual Property Policy
      • FINGO FINANCIAL SOLUTIONS PRIVATE LIMITED (the'Company') has an efficient Intellectual Property Policy and Intellectual Property Management guidelines (Collectively referred to as'IPPolicy', hereinafter) in place basically to maintain absolute clarity on IPR related issues such as ownership, rights and obligation of employees and Company, rights and obligation of customers and Company, disclosure of work/ invention, non-disclosure of confidential information, liabilities in case of misappropriation of IP or resolution of IP related disputes strategically.

      Intellectual property (IP) is one of our most valuable assets. We rely on various types of intellectual property (such as trademarks, patents, copyrights, trade secrets, domain names, design rights) for our success in the market. IP helps us stay competitive, allows us to fund future successes, and supports each of our jobs at the Company. The Company has a consistent policy of identification of Company's intangible assets, prioritizing them according to Company's business plans, registering, exploiting and safeguarding them in order to benefit fully from IP in terms of revenue, reputation and market share. The Company's IP Policy also envisages protection and management of its own IP well, internally and with it's business partners. We also want to respect the IP of others as we develop our products and services, run our business, and work with business partners.

      For clarifications, the term Company wherever used under this IP policy, shall include its Subsidiaries and Affiliates.
    • 1. Purpose
      • The Company has adopted this Policy in order to protect its own IP and minimize the possibility of infringement of Intellectual Property rights of the Company and the third Parties. This IP Policy aims to provide transparent administrative system for the ownership, control and transfer of the IP created and owned by the Company.
    • 2. Applicability
      • This IP Policy is applicable to all the employees, representatives and agents of the Company including its Subsidiaries and Affiliates
    • 3. Policies,Procedures, And Records
      • Company shall respect intellectual property (IP) and conduct its business in compliance with the IP-related laws as applicable in the jurisdiction of Republic of India and its agreements with other companies.
      • Company shall actively protect its own IP.
      • Company shall maintain an effective system of IP asset management, including maintaining an inventory and records of IP-related assets and agreements.
      • Company shall not knowingly infringe a third party's intellectual property in its products, services, or components, or disclose or use a third party's trade secrets without the express or implied consent of the owner or as permitted by law.
      • Company shall not knowingly purchase or use counterfeit or other infringing goods and services in running its business, including counterfeit trademark goods or infringing copyright material (such as software, publications, video, audio, or other content).
      • Company shall document and maintain written records of all substantial transactions and uses that involve the exercise of IP rights. (This includes, for example, licenses or assignments of rights; manufacture, reproduction or distribution of patented, trademarked or copyrighted items; and disclosure and use of trade secrets.)
      • Company shall require, through binding policies or agreements with employees and contractors that its personnel comply with the applicable IP laws and the Company's IP policies and IP-related provisions in agreements with other companies.
      • Company shall develop and implement a management system to help ensure that all personnel follow its IP policies. This management system shall encompass all IP-related policies, procedures and adequate and accurate records necessary to implement, measure, and improve Company's IP protection and compliance program.
    • 4. IP Compliance Team
      • Company's IP protection and management shall be implemented through a cross-functional compliance team, overseen by a Director or COO of the Company or designated senior management. The said compliance team may appoint or engage any advocate or expert from within and/or outside the Company to seek their opinion in carrying out their responsibilities as stated under this IP Policy.
    • 5. Scope and Quality of Risk Assessment
      • Company shall include in its risk assessment of new products, services, and business opportunities, any relevant IP protection risks.
    • 6. Management of Business Partners
      • Company shall require its business partners to conduct their arrangements with the Companyin accordance with Company's relevant IP protection policies.
      • Company shall conduct initial risk assessment and due diligence on all prospective business partners, which shall include an assessment of such companies' IP protection and management.
    • 7. Security andConfidentiality Management
      • Company shall maintain physical security designed to effectively protect trade secrets(where applicable) and other confidential information, and IP-related records, masters, tools, inventory and related materials.
      • Company shall maintain computer and network security effective for protecting trade secrets, other confidential and proprietary information, and IP related records, and for discouraging violations of Company's IP policies on the Company's computers and networks.
      • Company and its personnel shall only make trade secrets and other proprietary information available to third parties on a need to know basis, and subject to company procedures and written agreements containing adequate confidentiality and other protections.
      • Company shall execute written confidential or Non-disclosure agreements with third parties prior to disclosure of any confidential information of the Company to any third party(ies).
      • Any IP generated, created or developed by any of the employees/representatives and agents of the Company and/or consultants engaged by the Company, during the term of their employment or engagement as the case may be, for and/or on behalf of the Company, shall be work made for hire and shall be assigned by such persons to the Company. Further, the Company shall have the sole and exclusive ownership to such IP generated, developed or created unless otherwise agreed by the Company by way of a written contract or as may be applicable by the relevant IP law.
    • 8. Training andCapacity Building
      • Company shall provide ongoing appropriate level training on IP protection and management to all relevant personnel.
      • Company shall provide specialized training to those personnel responsible for the development and implementation of the IP protection, management, and compliance program
      • Company shall provide appropriate level training on IP protection and management for relevant supply chain members.
    • 9. Monitoring and Measurement
      • Company shall establish and operate asystem to monitor its performance in meeting the Company's relevant IP policies.
      • Company shall incorporate the information gained from the IP compliance team through the monitoring system into the overall evaluation of its departments.
    • 10. Corrective Actions and Improvements
      • Company shall maintain a system to track and deal with problems in IP protection, management and compliance found through the monitoring process. The tracking system will identify the corrective action to be taken, the timeline, and the responsible party.
      • Company shall develop and implement an annual or other regular improvement plan for IP protection, management, and compliance.
      • In case of violation/infringement of any IPR such as trademark infringement by any employee/representative or any third party infringing upon the IPR of the Company, the Compliance Team of the Company would first investigate the matter in association with its Advocates and make recommendations to the Director/CFO for resolution of such violation/infringement including need for any legal course of action.
    • 11. IP Licensing and Transfer
      • The Company may license its IP to any of its Subsidiaries, Affiliates or a third party (ies) through various modes of licensing strategy such as: Exclusive licensing, Sole licensing, Non-Exclusive Licensing, Sub-licensing and licensing in general. The Company shall document such IP licensing through a license Agreement where each such license agreement shall define the terms and conditions for the proper use of IP of the Company.
      • The Company may transfer its IP to any of its Subsidiaries, Affiliates or a third party (ies) through a signed IP transfer agreement on the conditions as may be deemed to be fit and proper to the Company.
    • 12. Jurisdiction
      • This Policy shall be governed by the laws of Republic of India and the courts at Andhra Pradesh shall have the exclusive jurisdiction to the same.

The above said Services and ancillary services are provided on a commercially reasonably effort basis and you agree that your participation for availing the above mentioned services is purely at your will and consent.

      Your continued usage of the Services and ancillary services from time to time would also constitute acceptance of the TOU including any updation or modification thereof and you would be bound by this Agreement until this Agreement is terminated as per provisions defined herein.

      You agree and authorize Company to share your information with its group companies and other third parties, in so far as required for joint marketing purposes/offering various services/report generations and/or tosimilar services to provide you with various value added services, in association with the Services selected by you or otherwise. You agree to receive communications through emails, telephone and/or SMS, from the Company or its third party vendors/business partners/ marketing affiliates regarding the Services/ancillary services updates, information/promotional emails and/or product announcements. In this context, you agree and consent to receive all communications at the mobile number provided by you, evenif this mobile number is registered under DND/NCPR list under TRAI regulations. And for that purpose, you further authorize Company to share/disclose the information to any third party service provider or any affiliate, its group companies, authorized agents.

      Company will retain and use your information as necessary to comply with our legal obligations, resolve disputes and enforce our agreements entered into for providing Services and ancillary services.

      It is to be noted that the Service provided to you is based on various parameters including your credit information report and credit rating maintained by various authorized Credit Information Companies ("CICs) in India and any other financial information that you may chooseto provide to Fingoindiaor authorise/ give consent to obtain from such CIC. If the information and details provided to Fingoindia(by the concerned CICs or you) are incorrect or incomplete, it will adversely affect the quality of the Service. In addition, there are several unknown factors beyond the control of Fingoindiathat may impact the outcome of the Service. For instance, 18| P a g ecredit scores are calculated differently by the various credit information companies; banks and other lending institutions may have their own internal policies subject to which they accept settlement of delayed dues or offer financial assistance and therefore, it is impossible to predict how any one specific action that we may recommend will affect your credit rating or your ability to obtain financial assistance.Therefore, you hereby understand and acknowledge that the reports and analysis provided to you by Fingoindiais based on Fingoindia's commercially reasonable efforts and our past knowledge and experience,and Fingoindiadoes not guarantee any outcome vis-à-vis your credit report or credit rating maintained by CICs nor do we guarantee that you will receive financial assistance from any bank or other credit institution. Individual results may vary based on several factors which are beyond the control of Fingoindia. While we make commercially reasonable efforts to ensure that our analysis are comprehensive and will provide you with options to improve your credit rating and credit worthiness, it is not meant tobe exhaustive or conclusive and errors may occur.

      By accepting these Terms, you hereby give consent and authorise Fingoindiaat its discretion to:

      1.Request and receive reports from CICs now and for a period of next six months


      2.Retain and store such reports for a period of six months from the date such report was received from the CIC


      3.Extend the periods stated above for further such periods perpetually every time you login to the FingoindiaWebsite.


      4.You hereby understand and agree that Fingoindiais required by law to purge any report after six months of obtaining such report, if you fail to login and validate your consent for retaining such report for further period of six months.



      By accepting these Terms, you hereby request and authorize Fingoindiato communicate with you, and accept instructions from you or your approval, (i) over the telephone (at the number you provide to Fingoindia) (ii) by email (at the email address you provide to Fingoindia); (iii) in writing (including through documents uploaded by you through your User ID or otherwise), and/or any other mode and form as may be determined appropriate by Fingoindiafrom time to time. You hereby consent to Fingoindia, at its sole discretion, (i)recording all telephone calls between you and Fingoindiaand any such records of Fingoindiashall be conclusive and binding evidence of the fact and content of such calls (ii) providing your details to banks and credit institutions to validate correctness of reporting with the CICs(iii) To share your informationincluding certain personal identifiable information with business partners (i.e. financial institutions) of Fingoindiato provide you with pre-approved offers per the eligibility criteria, from such business partners. It is your responsibility to intimate Fingoindiaof any change in your email address or telephone number. You hereby confirm that instructions / approval soprovided by you will be valid, effective,and binding on you without any further enquiry or due diligence as to identity of the person purporting to give such instruction / approval. Fingoindiamay, in its sole discretion, seek further confirmation of anyinstruction / approval given or purporting to originate from you.

      For as long as your User ID remains registered with us, Fingoindiamay, from time to time, recommend our own products and services or the products and/or services of third party banks and other credit institutions to you. You hereby consent that based upon your request, Fingoindiamay forward your contact details to third party banks and credit institutions, and 19| P a g eyou authorize them to contact you, even if you are registered with a Do Not Call (DNC) status with your telecom provider. If you have asked us, or if you do ask us in future not to send you any marketing material, you agree that this restriction will not apply to these recommendations / referrals. The provision of referrals related to the products and/or services of third party banks and other credit institutions is purely a referral service and is not an offer made to you by Fingoindiafor any financial product and/or financial services and should not be construed as such. Such thirdparty referral is provided strictly on a non-risk participation basis. The ultimate decision regarding the appropriateness of any product / service that is provided to you by Fingoindiais exclusively yours and you should exercise due caution and/or seek independent advice before entering into any investment or financial obligation based on these referrals. You should consult your appropriate advisors and independently consider the merits and risks of subscribing or purchasing any recommended products / services, including engaging with any third party and / or purchasing their products / services. The third party/parties will be entitled to determine, in their sole discretion, whether to offer any of their products and/or services to you and any such offerwill be subject to such terms and conditions as may be agreed between you and the concerned third party. Fingoindiashall not be a party to and shall not be responsible or liable for any transactions, interactions, conduct or communications between you and our third party partners, on or through the Service or otherwise.       • I hereby consent and authorize Fingoindiato access and receive my financial information on a regular basis from various Financial Information Providers (FIPs) via Account Aggregators and utilize the above said financial information for below mentioned purposes:

      • To provide customized recommendations and personalized offers of the products and services of Fingoindiaand/or its business partners/affiliates;
      • To send information/personalized offers via email, text, call or online display or other means of delivery in Fingoindia's reasonable sole discretion;
      • To provide personal finance management solutions detailing out individual bank account balances, transaction analysis and other features built on top of it;

    • Force Majeure
      • The subscription shall be subject to force majeure events and on occurrence of such an event, the Free Trail may be withdrawn at the discretion of Fingoindia.
    • Disable / Cancel Recurring Payments
      • You may cancel or disable Recurring Payments for your subscription either in the settings / preferences of your Fingoindiaaccount. For avoidance of any doubt, it is clarified that if you cancel or disable Recurring Payments or auto renewal of your subscription, your on-going subscription will continue for the remainder of the subscription period, however in the event you cancel or disable Recurring Payments during the Free Trial or promotional period, any unavailed period shall lapse and will not be available to you.

      In case one of your Recurring Payments is declined for any reason whatsoever, including expiry of your card (credit / debit), we may cancel your subscription, unless you provide us with a new mandate. If you provide us with a new mandate and are successfully charged before your subscription is cancelled, your new subscription period will be based on the original renewal date and not the date of the successful charge.
    • Notification and Communication
      • You authorize us to communicate with you throughemails in connection with your subscription and/or Recurring Payments. You acknowledge that we may also communicate with you through our affiliate(s) providing the subscription or the benefits of the subscription to you.
    • Disclaimer of Liability
      • You shall not hold Fingoindia, its group entities, or affiliates, their respective directors, officers, employees, agents, vendors responsible for any losses or damages suffered by you on account of your use of Recurring Payments for the subscription, including as aresult of any fraud in connection with any payment of Membership fee using your Payment Method.You further agree to indemnify, defend and keep Fingoindiaharmless against all damages, liabilities, costs, expenses,claims, suits and proceedings (includingreasonable attorney's fee) that may be suffered by Fingoindiaas a consequence of violations of these terms and conditions by you, violation of applicable laws, any action or inaction resulting in wilful misconduct or negligence on your part.
